Distance Sales Agreement · Mesafeli Satış Sözleşmesi

1. Parties
This agreement is concluded electronically between the SELLER identified below and the BUYER (Consumer) who purchases the service via https://serpzio.com, under Turkish Law No. 6502 on Consumer Protection and the Distance Contracts Regulation.

2. Subject
The subject of this agreement is the sale and performance of the Serpzio digital software subscription ordered electronically by the BUYER via https://serpzio.com, together with the parties' rights and obligations.
3. Service and Price
Serpzio is a digital SaaS subscription offering SEO/GEO analysis, content scoring and AI content generation for WordPress sites. There is no physical product or shipping. Prices (20% VAT added on top):
- Pro – Monthly: $30.00 / month ($25.00 + VAT $5.00)
- Pro – Yearly: $118.80 / year ($99.00 + VAT $19.80)
4. Payment and Renewal
Payment is collected in advance from the BUYER's card through the Stripe secure payment infrastructure. The subscription is recurring; unless the BUYER cancels, the fee renews automatically from the saved card at the end of each period. The BUYER may cancel any time from their account and keeps access until the end of the period.
5. Method and Time of Performance
The service is digital and is performed instantly once payment is confirmed; the BUYER accesses the dashboard and the plugin's Pro features with a license key. Details: Delivery & Performance.
6. Right of Withdrawal
Under Art. 15/(ğ) of the Distance Contracts Regulation, the right of withdrawal does not apply to digital content and services performed instantly where performance begins with the consumer's consent. Notwithstanding this, the SELLER grants an unconditional goodwill refund of 14 days on a first purchase. See Cancellation & Refund.
7. Protection of Personal Data
The BUYER's personal data is processed under Law No. 6698 (KVKK) in line with the Privacy Policy. Card details are never stored by the SELLER; they are held securely by the payment institution (Stripe).
8. Dispute Resolution
This agreement is governed by Turkish law. Consumer Arbitration Committees and Consumer Courts have jurisdiction; the monetary thresholds are announced each year by the Ministry of Trade.
9. Effect
The agreement takes effect when the BUYER reads and approves it together with the Pre-Information Form at the payment step.

2. Konu
Sözleşmenin konusu, ALICI'nın https://serpzio.com üzerinden elektronik ortamda sipariş verdiği, aşağıda nitelik ve fiyatı belirtilen Serpzio dijital yazılım aboneliği hizmetinin satışı ve ifasına ilişkin tarafların hak ve yükümlülüklerinin belirlenmesidir.
3. Hizmet ve Bedel
Serpzio, WordPress siteleri için SEO/GEO analizi, içerik puanlama ve yapay zekâ içerik üretimi sunan dijital bir SaaS aboneliğidir. Fiziksel ürün ve kargo bulunmaz. Bedellerin üzerine KDV (%20) eklenir:
- Pro – Aylık: $30.00 / ay ($25.00 + KDV $5.00)
- Pro – Yıllık: $118.80 / yıl ($99.00 + KDV $19.80)
4. Ödeme ve Yenileme
Ödeme, ALICI'nın kart bilgileriyle Stripe güvenli ödeme altyapısı üzerinden peşin olarak alınır. Abonelik tekrarlayan ödemelidir; dönem sonunda ALICI iptal etmediği sürece ücret kayıtlı karttan otomatik yenilenir. ALICI, hesabından dilediği an iptal edebilir ve dönem sonuna kadar hizmeti kullanmaya devam eder.
5. İfa Şekli ve Süresi
Hizmet dijitaldir ve ödemenin onaylanmasının ardından anında ifa edilir; ALICI panele ve eklenti Pro özelliklerine lisans anahtarı ile erişir. Ayrıntı: Teslimat & Hizmet İfası.
6. Cayma Hakkı
Mesafeli Sözleşmeler Yönetmeliği m.15/(ğ) uyarınca, elektronik ortamda anında ifa edilen dijital içerik ve hizmetlerde, ifaya ALICI'nın onayıyla başlanması hâlinde cayma hakkı kullanılamaz. SATICI buna rağmen ilk satın almada 14 gün koşulsuz iyiniyet iadesi tanır. Bkz. İptal & İade.
7. Kişisel Verilerin Korunması
ALICI'nın kişisel verileri, 6698 sayılı KVKK kapsamında Gizlilik Politikası uyarınca işlenir. Kart bilgileri SATICI tarafından saklanmaz; ödeme kuruluşu (Stripe) nezdinde güvenli şekilde tutulur.
8. Uyuşmazlıkların Çözümü
İşbu sözleşme Türk hukukuna tabidir. Tüketici Hakem Heyetleri ve Tüketici Mahkemeleri yetkilidir; parasal sınırlar her yıl Ticaret Bakanlığı tarafından ilan edilir.
9. Yürürlük
ALICI, ödeme adımında işbu sözleşmeyi ve Ön Bilgilendirme Formu'nu okuyup onayladığında sözleşme yürürlüğe girer.
